The following general terms and conditions apply to all offers, quotations and agreements of BHH B.V., established at Weegschaal 6, 5215 MN, registered with the Chamber of Commerce under number 73188816 (hereinafter: “BHH” or “we”). These conditions only apply to business customers (B2B).

1. Definitions

In these general terms and conditions:

  • BHH: The private company BHH B.V., including its legal successors.
  • Customer: any legal person or natural person who acts in the exercise of a profession or business and with whom BHH enters into an agreement or to whom BHH makes an offer or offer.
  • Product(s): the dispenser developed and/or supplied by BHH with integrated scales and associated modules, stainless steel storage racks, (cloud) software, APP, and any other accessories or components.
  • Agreement: any agreement or agreement between BHH and the customer with regard to the sale and / or delivery of products and / or services (such as installation and service).
  • Parties: BHH and the customer together.
  • Order confirmation: the written confirmation from BHH to the customer, which shows that an order has been accepted and in which the specifications, price and (possible) additional agreements are laid down.

3. Applicability

3.1 These general terms and conditions apply to all quotations, offers, order confirmations, deliveries and agreements of BHH with the customer.

3.2 Deviating or additional conditions of the customer are explicitly rejected, unless they have been accepted in writing by BHH.

3.3 If one or more provisions in these general terms and conditions are null and void, the other provisions remain in full force.

4. Offer, quotations and conclusion of the agreement

4.1 Non-binding offer: All quotations, quotations and other expressions of BHH are without obligation, unless explicitly stated otherwise.

4.2 Order confirmation: The agreement is only concluded after BHH has confirmed the order of the customer in writing (eg via an order confirmation by e-mail) or when BHH has started the actual execution.

4.3 Obvious errors: BHH cannot be held to quotations that the customer should reasonably understand as an obvious mistake or error.

4.4 Changes: any changes to the order or in the agreement after realization may be charged by BHH to the customer, insofar as these changes lead to higher costs or a changed delivery

5. Description of product and service

5.1 Products

  • BHH supplies a dispenser with integrated scale (“main machine”), modularly expandable with reservoirs that can be clicked into the main machine.
  • Stainless steel storage racks for both the main machine and (sets of) reservoir modules. These racks are modular and stackable.

5.2 Software and recipe

  • The dispenser uses (cloud) software and an app with which the customer can create and upload recipes.
  • After upload the machine can work standalone, no continuous internet connection is required.
  • BHH cannot guarantee that the cloud environment and / or app will be available continuously (100% uptime). As a rule, any malfunctions do not limit the core functionality of the dispenser.

5.3 Installation and instruction (optional)

BHH provides optional on-site installation service, including:

  • Calibration of the scales.
  • Configuration of the main machine.
  • fill with the right ingredients.
  • Teaching ingredients with ingredients recognition.
  • Create a number of recipes and users in the app.
  • Training and explanation about connecting to the internet and using the app.
  • Training and explanation about the use of the machine and about the correct cleaning of the machine and parts.

The customer can also install himself at his own risk. In the event of incorrect installation, a right to warranty will lapse or this will be borne by the customer.

5.4 Restrictions of Application and Use with Ingredients

  1. The reservoirs are designed exclusively for dosing dry, free-flowing powders and substances.
  2. Ingredients must be completely dry and free from moisture, lumps, fats and oily ingredients (such as palm oil, buttery products or other greasy or sticky components). Using moist, greasy or sticky ingredients can lead to clogging, damage to internal parts and system failure.
  3. Some dry, granular ingredients (such as couscous or small seeds) can be processed in certain cases, provided that the grain size does not exceed approximately 3 mm. Due to the variation in structure, density and flow properties of such ingredients, BHH cannot guarantee any interference-free operation or constant dosing accuracy.
  4. The suitability of each ingredient for processing with the product is ingredient and situation dependent and must always be tested by the customer in advance.
  5. BHH does not guarantee or promise that all dry or powdered ingredients can be processed without any problems. A large part of the dry, free-flowing ingredients is expected to function, but this does not guarantee that this also applies to the specific ingredients that the customer uses.
  6. Damage, malfunctions or deviating performances arising from the use of non-tested, unsuitable or unforeseen ingredients are expressly excluded from the warranty as referred to in Article 8.
  7. BHH does not provide advice on food safety, prescription composition, nutritional values or suitability of ingredients for consumption; The customer remains fully responsible for this.

 

5.5 Performance specifications (speed and accuracy)

  1. The dosing speeds and accuracys stated in the technical description and/or product specifications are guide values measured with standard test ingredients under controlled conditions.
  2. Because the dispenser is a generic machine and BHH cannot provide which ingredients the customer uses, performance may differ per ingredient. BHH does not guarantee that the aforementioned guide values are achieved for each ingredient.
  3. In internal tests, the aforementioned guide values are met for approximately 80% of the tested, dry and free-flowing ingredients; This does not guarantee (customer chosen) specific ingredients.
  4. The customer is responsible to verify prior to operational use whether the intended ingredients can be dosed with the desired speed and accuracy; BHH recommends a practical test / test for this.
  5. Performance can be influenced by, among other things, grain size and form, bulk density, moisture content, oil / fat content, static charge, additives and condition / lump formation. Deviations resulting from this do not constitute a defect in the product.
  6. The integrated scale in the product is not legally calibrated and is not intended for use in trade purposes where the weight determines the selling price or the labeling of ready-made products. The product is intended for internal production, preparation and composition purposes only. The customer is responsible for compliance with applicable laws and regulations in the field of legal metrology.

 

 

6. Prices and payment conditions

6.1 PRICES

  • All mentioned prices are exclusive of VAT (unless stated otherwise).
  • Any additional costs for additional services, installation or maintenance are separately specified in quotation or invoice.

6.2 Payment term and methods

  • Standard payment term is 14 days after the invoice date, unless otherwise agreed in writing.
  • Discount scheme: With full prepayment within 7 days after the invoice date, the customer can receive a 2% discount.
  • Payment only by bank transfer to the account indicated by BHH

6.3 Late payment

If the customer does not pay within the agreed period, the customer is in default by operation of law and BHH can:

  • Charge the statutory (trade) interest from the due date;
  • o Recover collection costs from the customer, in accordance with the legal guidelines for (extra) judicial collection costs.

7. Delivery, transport and delivery

7.1 Delivery time

  • The delivery times stated in the quotation or (web) shop are indicative and not deadlines.
  • Exceeding the delivery time does not give the customer the right to compensation or dissolution, unless otherwise agreed in writing or the delivery was “essential” and has been explicitly considered a deadline.

 

7.2 Transport and risk

  • BHH arranges the transport, either by own transport or via an external carrier (such as DHL).
  • The risk of damage or loss during transport lies with BHH until the moment that the products are accepted by (or on behalf of) the customer at the agreed location.

 

7.3 Shipping costs

  • Any shipping costs within the Netherlands (and possibly outside) are in principle borne by BHH, unless agreed otherwise in writing.

 

7.4 Refusal and not receiving

  • If the Customer refuses or is negligent with the provision of information or instructions necessary for the delivery, BHH will store the products at the expense and risk of the Customer.
  • BHH can charge the reasonable (storage) costs to the customer. If, after notification, the customer does not proceed to purchase or re-delivery within a period set by BHH, BHH can fully or partially dissolve the agreement and recover any damage.

 

7.5 Exceeding delivery time and cancellation

  • If delivery delays unreasonably due to unforeseen circumstances, the parties will consult to determine a new delivery date.
  • If an explicit fatal delivery date has been agreed and this has not been met, the customer can cancel the agreement for the relevant part of the order, unless BHH still delivers within a reasonable period to be set by the customer.

8. Warranty and maintenance

8.1 Warranty period

  1. Unless otherwise agreed in writing, a warranty period of 12 months after the date of delivery applies to B2B deliveries.

 

8.2 Guarantee size (manufacturing and material defects)

  1. During the warranty period, BHH resolves all defects that are demonstrably the result of manufacturing or material defects.
  2. Wear parts (such as seals, gaskets, filters) are not covered by this warranty, unless there is a demonstrable production error.

 

8.3 Functional operation

  1. “Functional operation” means that the product meets the performance and functionalities as specified in the order confirmation, product specifications and user manual.
  2. BHH guarantees that functional failures — which do not result from manufacturing or material defects — are repaired free of charge within the warranty period, provided that the product is properly installed, maintained and used as prescribed.
  3. The speeds and accuracy specified in the technical description and/or product specifications qualify as guide values. Deviations that are exclusively the result of the properties or condition of the ingredients used (including grain size / form, moisture or oil / fat content, flow behavior, static loading and additives) do not provide a warranty claim. Nor can a warranty claim be based on the mere fact that an ingredient that meets the requirements set out in Article 5.4 (dry and free flowing) cannot be dosed with the speed or accuracy stated in the product specifications.

 

8.4 Exclusions

This warranty does not apply to:

  • Incorrect use, overloading (e.g. exceeding maximum weighing capacity), improper maintenance or unauthorized repairs or adjustments.
  • Damage due to transport by or on behalf of the customer, fall, water, fire or other external damage.
  • Temporary interruptions, updates or limitations in the (cloud) software or app, or malfunctions caused by external network conditions.
  • Normal wear and cosmetic damage that does not affect the operation.
  • The absence of the guide values stated in the technical description and / or product specifications for dosing speed and accuracy as referred to in Article 5.5.
  • use of unsuitable ingredients as specified in Article 5.4.

 

8.5 Reporting and recovery procedure

  1. The customer must notify each defect (both equipment and functional) in writing within 14 days after discovery via sales@bhhrproducts.com, stating: order number, description of the defect, and photos or log files if applicable.
  2. BHH confirms receipt of the report within 5 working days and then draws up a recovery plan with an indication of the recovery period.
  3. Repair work is carried out by BHH or by BHH certified service partners. Unauthorized repairs void the warranty.

 

8.6 Maintenance and calibration package

  1. BHH offers an optional periodic maintenance and calibration package, including annual inspection, replacement of wear parts and recalibration of the scales.
  2. Maintenance or repairs outside the warranty period or as a result of the customer’s negligence are invoiced according to the then applicable rates.

 

8.7 Consequences of late notification

  1. If the customer does not report a defect within a reasonable time after discovery, the right to warranty may be in whole or in part.

 

8.8 Ownership and responsibility

  1. Repairs or replacements under this warranty do not waive any retention of title or claims from BHH to payment for parts already delivered.
  2. The customer remains responsible at all times for backup of data and recipes prior to maintenance or repair.

9. Return Policy (B2B)

9.1 Since BHH only supplies B2B, no legal right of withdrawal applies to consumers.

9.2 Returns can only take place with the prior written permission of BHH and under conditions set by BHH.

9.3 Any costs for return shipment and the risk of return shipment are at the expense of the customer, unless BHH decides otherwise.

10. LIABILITY

10.1 Restriction

  • BHH is not liable for indirect or consequential damage, such as loss of profit, lost turnover, damage to other equipment, loss of (business) data or reputation damage.
  • The total liability of BHH for direct damage is limited to a maximum of the amount invoiced for the relevant agreement (excluding VAT), or – if there is an insured event – up to the amount that the insurer pays out

 

10.2 Obligations of the customer

  • The customer is responsible for proper compliance with the operating and safety instructions, including maximum weighing capacity.
  • Damage resulting from your own fault, negligence or incorrect installation by the customer cannot be recovered from BHH.

11. Force majeure

11.1 Force majeure is understood to mean any circumstance that BHH independent of the will of BHH temporarily or permanently prevents the fulfillment of the agreement (eg strike, fire, government measures, epidemics, transport restrictions, supply disruptions).

11.2 In case of force majeure, BHH is entitled to suspend its obligations or to dissolve the agreement in whole or in part, without any obligation to pay compensation.

11.3 If the situation of force majeure lasts longer than 60 days, both parties are entitled to terminate the agreement.

12. Retention of title and insolvency

12.1 Retention of title

  • All delivered products remain the property of BHH until the customer has fulfilled all (payment) obligations from the agreement.
  • As long as the ownership has not been transferred, the customer may not alienate, rent, pledge or otherwise encumber the products.

 

12.2 Recovery

  • If the customer (partly) fails to pay or in the event of bankruptcy, suspension of payment or liquidation of the customer, BHH is entitled to take back the delivered but unpaid products.
  • The customer must cooperate in retrieving or entering his location if necessary.

13. Intellectual property, software and data

13.1 IP rights

  • The design and technology of the dispenser and reservoirs are subject to patents, model or trademark rights of BHH.
  • Taking photos and videos is in principle permitted, provided that there is no violation of intellectual property rights (eg misleading use of the brand).

13.2 Software and Cloud service

  • All (cloud) software, the source code, updates and associated documentation remain the property of BHH. The customer only obtains a non-exclusive, non-transferable right of use for the duration of the agreement or as long as necessary for the use of the product.
  • BHH can perform maintenance, updates and (temporary) interruptions. A 100% uptime guarantee is not given.

 

13.2a Accounts and use of the software

  • The customer must create an account to use the (cloud) software and app.
  • The customer is responsible for the management and correct use of accounts, login details and access rights within his organization.
  • Login details are strictly personal and may not be shared with unauthorized third parties.
  • The customer is liable for all actions that take place via his account (s), unless the customer can demonstrate that there is abuse outside his sphere of influence.
  • BHH is entitled to temporarily block or terminate accounts in the event of abuse, unauthorized use or act in violation of these conditions.

 

13.3 Data, data ownership and use

  • Recipes, institutions and data entered by or on behalf of the customer remain the property of the customer.
  • BHH obtains a non-exclusive, non-transferable right to process this data for:
    • the functioning of the dispenser, app and cloud service;
    • Service, maintenance and support;
    • Error analysis, quality control and product improvement.
  • BHH is entitled to analyze usage data, technical data and information about ingredients and usage patterns, provided this takes place in an anonymous or aggregated manner and cannot be traced back to individual business-sensitive information of the customer.
  • This anonymised and aggregated data may be used by BHH for internal analysis, statistical purposes, product development and optimization of its services.
  • BHH will not share the Customer’s confidential business information with third parties, except insofar as this is necessary for the performance of the agreement or is legally required.

 

13.4 Availability of software, cloud and data loss

  • BHH makes every effort to keep the (cloud) software and app available, but cannot guarantee uninterrupted or error-free operation.
  • BHH is entitled to change, maintain, temporarily interrupt or (partially) the software, app or cloud service, provided that this does not substantially affect the core functionality of the product.
  • BHH is not liable for loss of data, recipes or institutions, unless there is intent or deliberate recklessness on the part of BHH.
  • The customer is responsible for backing up important data, including recipes and settings.
  • Upon termination of the agreement or account, BHH will delete or anonymize the Customer’s data after a reasonable period of time, unless legal obligations dictate otherwise.
  • BHH is entitled to suspend access to the software and cloud service if the customer fails to pay for payment obligations.

 

 

14. Privacy and cookies

14.1 BHH processes personal data of contact persons within the customer in the context of the implementation of the agreement.

14.2 BHH applies a privacy and cookie policy as published on www.the-autogram.com.

14.3 By entering into the agreement, the customer confirms that he is aware of and agrees with BHH’s privacy and cookie policy.

15. Applicable law, disputes and complaints procedure

15.1 All agreements and legal relationships arising therefrom are exclusively governed by Dutch law.

15.2 Any disputes will be submitted to the competent court in the district of BHH’s place of business.

15.3 Complaints procedure: The customer can report complaints via e-mail (info@bhhrproducts.com) or in writing. BHH strives to confirm complaints within 5 working days and to deal with them within a reasonable period of time.

16. Maintenance and service agreements

16.1 BHH offers maintenance and calibration packages with annual checks, replacement of wear parts, etc. These are offered as a separate (optional) service.

16.2 The conditions for such (extended) maintenance can be laid down in a separate service agreement. The provisions in these general terms and conditions apply in full, unless otherwise agreed in writing.

17. FINAL PROVISIONS

17.1 These conditions, together with the quotation, order confirmation or agreement, constitute the full representation of the rights and obligations between the parties and replace all previous oral and / or written agreements.

17.2 BHH is at all times entitled to change or supplement these conditions. The most current version can be found atwww.the-autogram.com.

17.3 If any provision of these general terms and conditions appears to be invalid or voidable, this does not affect the validity of the other provisions.

17.4 The customer is not entitled to transfer his rights or obligations under the agreement to third parties without the express written permission of BHH.
